# E-Contracts

Avigrah operates on a contract-first model. All commercial, operational, and usage terms are governed through formal electronic agreements (“E-Contracts”) established with each organization.

***

### What is an E-Contract

An E-Contract is the primary agreement between Avigrah and the organization.

Each contract is:

* Created per organization
* Legally binding upon execution by both parties
* The single source of truth for all commercial and usage terms

All services, access, and usage within Avigrah are subject to the active E-Contract.

***

### What the E-Contract Defines

Each agreement clearly outlines:

* Pricing and billing structure
* Allocated usage (Intelligent Units, storage, execution capacity)
* Billing cycle and payment terms
* Commitment duration (3 / 6 / 12 months)
* Overage policies and additional usage terms
* Scope of services and deliverables

The E-Contract overrides any general documentation where applicable.

***

### Billing & Contract Lifecycle

* Billing cycles are defined and managed per E-Contract
* Usage is tracked against agreed allocations
* Renewals, upgrades, or changes are handled through updated agreements

All financial obligations are governed strictly by the terms defined in the contract.

***

### Execution & Signing

Avigrah uses trusted third-party e-signature platforms, including:

* DocuSign
* Dropbox Sign

Contracts are considered valid only when:

* Signed by authorized representatives of both parties
* Completed through approved execution workflows

***

### Responsibility & Accuracy

Organizations are responsible for:

* Reviewing all contract terms before signing
* Ensuring accuracy of provided information
* Understanding pricing, usage limits, and obligations

Avigrah is not responsible for misunderstandings arising from:

* Misinterpretation of contract terms
* Assumptions not explicitly defined in the agreement

***

### Changes & Amendments

Any changes to:

* Pricing
* Usage limits
* Scope of services

are made through formal amendments or new agreements.

No changes are applied informally outside the contract.

***

### Key Principle

The E-Contract is the **governing layer of the Avigrah platform**.

* Defines how the system is used
* Controls billing and limits
* Establishes responsibilities for both parties

All usage of Avigrah is subject to the terms defined in the active agreement.
